Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Right Shield LLC, a Colorado limited liability company ("Right Shield," "we," "us," or "our"), governing your access to and use of the Right Shield website located at rightshield.io and any related services we provide (collectively, the "Services").

By accessing the Site, submitting an inquiry, or entering into a service engagement with Right Shield, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered clients or posted on the Site with an updated "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

2. Services Description

Right Shield provides intellectual property enforcement and brand protection services, including but not limited to: DMCA takedown notice preparation and submission, cease-and-desist correspondence, counterfeit listing identification and removal, impersonation account reporting, domain dispute proceedings under the Uniform Domain-Name Dispute-Resolution Policy ("UDRP"), and ongoing brand monitoring.

Right Shield acts as an authorized agent of the Client for purposes of submitting intellectual property infringement notices under applicable law, including the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"). Our authority is limited to the scope expressly authorized in the engagement agreement.

Right Shield does not provide legal advice. Nothing in these Terms or in any communication from Right Shield constitutes an attorney-client relationship unless separately established through a formal engagement letter with a licensed attorney. For matters requiring legal counsel, we recommend consulting a licensed attorney in your jurisdiction.

3. Eligibility & Account Registration

The Services are available only to individuals who are at least 18 years of age and entities that are validly formed and in good standing under applicable law. By using the Services, you represent and warrant that you meet these eligibility requirements.

To engage Right Shield, you may be required to create an account or submit identifying information. You agree to provide accurate, current, and complete information and to update such information promptly if it changes. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

Right Shield reserves the right to refuse service, terminate accounts, or cancel engagements at its sole discretion, including for reasons related to suspected misuse, misrepresentation, or violation of these Terms.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You represent and warrant that you are the owner, exclusive licensee, or duly authorized agent of the intellectual property rights you submit to Right Shield for enforcement action.

You must not:

  • Submit knowingly false, inaccurate, or misleading infringement claims;
  • Use the Services to harass, intimidate, or unlawfully interfere with third parties;
  • Provide fraudulent ownership documentation or misrepresent your authority to act;
  • Attempt to circumvent or reverse-engineer any security or access control mechanism on the Site;
  • Use the Services to submit notices targeting content that constitutes fair use, parody, or other legally protected expression.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of the engagement and may expose you to civil and criminal liability under applicable law, including 17 U.S.C. § 512(f) for knowing material misrepresentation.

5. Engagement Terms

Service engagements begin with a brief intake process during which Right Shield collects information about the Client's intellectual property portfolio, the nature of the alleged infringement, and the desired scope of enforcement. Right Shield reserves the right to decline any engagement that, in its professional judgment, presents legal, ethical, or operational concerns.

Fees and billing terms applicable to each engagement are described on our Pricing page. Unless otherwise agreed in writing, fees are due in advance of service commencement. Right Shield does not offer refunds for services already rendered.

Engagement scope is defined at the time of intake. Out-of-scope requests — including new platforms, new IP assets, or new categories of infringement not identified at intake — may require a separate engagement or scope amendment, subject to additional fees.

6. Intellectual Property Rights

All intellectual property rights in Client-provided materials — including trademarks, copyrights, trade secrets, and brand assets — remain exclusively with the Client. Right Shield acquires no ownership interest in Client IP by virtue of these Terms or any engagement.

Right Shield retains all intellectual property rights in its proprietary methodologies, workflows, software tools, notice templates, and documentation — collectively, "Right Shield IP." Nothing in these Terms grants you a license to Right Shield IP beyond the limited, non-exclusive license necessary to receive the Services during the engagement term.

Evidence packages, notice records, and case documentation compiled by Right Shield on behalf of the Client are delivered to the Client upon engagement completion and are the property of the Client. Right Shield may retain copies for its internal records and compliance purposes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIGHT SHIELD AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF RIGHT SHIELD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RIGHT SHIELD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL FEES PAID BY YOU TO RIGHT SHIELD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

8. Indemnification

You agree to defend, indemnify, and hold harmless Right Shield and its members, managers, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your infringement of any third-party intellectual property or other rights; (d) any misrepresentation you make regarding your authority or the validity of your IP claims; or (e) any counter-notification or legal action brought by a third party in response to a notice submitted by Right Shield on your behalf.

Right Shield reserves the right to assume exclusive control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Right Shield in asserting any available defenses.

9. Termination

Either party may terminate an engagement upon written notice if the other party materially breaches these Terms and fails to cure such breach within fourteen (14) days after receiving written notice thereof.

Right Shield may suspend or terminate your access to the Services immediately, without prior notice or liability, if Right Shield reasonably believes that: (a) you have violated these Terms; (b) your use of the Services creates legal or reputational risk for Right Shield; or (c) continued engagement is not in the interests of justice.

Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. Sections 6, 7, 8, 10, and 12 shall survive termination.

10. Governing Law & Jurisdiction

These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Colorado, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

11. Changes to Terms

Right Shield reserves the right to revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where required, provide additional notice (such as by email to active clients). Your continued use of the Services after any such revision constitutes your agreement to the updated Terms.
